1. Who this agreement is between

This agreement is between Maestro Assistance Comptable Inc. ("Maestro", "we") and you, the person signing in to CashFlow. Where you sign in on behalf of a business, you confirm you are authorized to accept this agreement for that business, and "you" means both you and that business.

By signing in to CashFlow you accept this agreement. If you do not accept it, do not sign in.

2. What CashFlow is

CashFlow reads a business's accounting data from QuickBooks Online and produces a weekly cash-flow forecast from it. It is a tool for seeing what is likely to happen to a business's cash position. It is not a bookkeeping system, it does not write anything back to QuickBooks, and it does not move money.

3. Your account

You sign in through our identity provider. You are responsible for keeping access to your account secure and for what is done through it. Tell us promptly at privacy@maestrocomptable.com if you believe someone else has gained access.

Accounts are personal. Do not share credentials or let someone else use your account.

4. Connecting QuickBooks

Connecting a QuickBooks company requires authorization from someone entitled to give it. By connecting, you confirm you have that authority.

CashFlow only reads. We never create, modify or delete anything in your QuickBooks company. Intuit's accounting authorization is a single permission covering both reading and writing — Intuit offers no read-only version of it — so the connection you approve grants more than we use. Our use of it is confined to reading.

You may disconnect at any time, from CashFlow or from within QuickBooks. Doing so stops our reading immediately, and we ask Intuit at the same time to revoke the authorization, though we cannot promise that request always reaches Intuit. Disconnecting does not by itself destroy the copy of your data we already hold — see section 8.

5. Your data stays yours

The accounting data we read from QuickBooks belongs to you. Nothing in this agreement transfers ownership of it to us.

We use it only to operate CashFlow for you: to keep our copy current, to categorize and forecast, and to make the result available to the people you and your accountant have authorized. An authorization can cover a whole business or a single legal entity within it. We do not sell it, share it for anyone else's purposes, or use it to train machine-learning models. Our privacy policy sets out the detail.

6. What the forecast is, and is not

A forecast is an estimate. CashFlow projects a business's future cash position from data that is already in its books plus assumptions about timing. It cannot know about a payment nobody has recorded, a customer who is about to pay late, or anything else outside QuickBooks.

CashFlow does not give financial, investment, tax or legal advice, and the forecast is not a substitute for professional judgment. Where Maestro also acts as your accountant, that advice is given under your engagement letter, not through this software.

Do not treat a forecast as a guarantee. Decisions you take on the strength of one — paying a supplier, drawing on credit, making a commitment — are yours.

We depend on QuickBooks for the underlying data. If QuickBooks is unavailable, returns incomplete data, or the data in it is wrong, the forecast will reflect that. Where we know a figure is missing or unreliable, we show it as such rather than quietly filling a gap.

7. What you agree not to do

Do not attempt to access data belonging to a business you are not authorized to see; do not probe, scan or interfere with the service's security; do not use it to break the law or infringe someone's rights; and do not attempt to extract the service's software or resell access to it.

8. Ending, exporting and destruction

Either of us may end this agreement at any time. Maestro may suspend or end your access if you breach this agreement, or if continuing would put other clients' data at risk.

Before you go — or at any time — a firm administrator can export a business's data as CSV files. Our privacy policy lists what that export contains and what it leaves out.

On request, or when a business leaves CashFlow, we destroy that business's data. The QuickBooks connection has to be disconnected first, and destruction will not run while a synchronization is under way or while another business is still connected to the same QuickBooks company. Destruction is immediate and irreversible. What survives is the record that it happened and, for each export made before it, the record that the export was served, neither holding any destroyed content. Ask us and we will do it.

9. Availability

We aim to keep CashFlow available and correct, but we do not promise uninterrupted service. Synchronization runs once a day, so the data you see reflects the most recent successful run rather than this moment. We may change, suspend or withdraw features; where a change materially reduces what the service does, we will tell you.

10. Limits on our liability

Nothing here limits liability that the law does not allow us to limit, including liability for gross or intentional fault, liability for bodily or moral injury, or your rights as a consumer where they apply.

Subject to that: CashFlow is provided as it is; we are not liable for indirect or consequential loss, or for loss of profit, revenue or business opportunity, or for decisions taken on the strength of a forecast; and our total liability under this agreement is limited to the greater of the fees you paid us for CashFlow in the twelve months before the event giving rise to the claim, or one thousand Canadian dollars ($1,000).

11. Confidentiality

We treat your data as confidential and will not disclose it except as our privacy policy describes. Where Maestro also acts as your accountant, professional confidentiality obligations apply on top of this agreement and are not reduced by it.

12. Changes to this agreement

We may change this agreement. We will post the new version with a new effective date, and where a change materially affects your rights we will tell you before it takes effect. Continuing to use CashFlow after that means you accept the change; if you do not, stop using it and ask us to destroy your business's data.

13. Governing law

This agreement is governed by the laws of Québec and the federal laws of Canada applicable there. The courts of the district of Montréal have exclusive jurisdiction, subject to any right you have as a consumer to bring proceedings where you live.

14. Language

The parties have required that this agreement and all related documents be drawn up in French. An English version may be provided on request. In case of any discrepancy, the French version prevails.
